Membership

We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration.
Fees
UrbexBay (or its partners) may charge a fee to post or access Content or for other features, products, services, or licenses. You are responsible to UrbexBay (or its partners) for any fees applicable to Content that you post or other features, products, services, or licenses you purchase or that are purchased through Company (or its partners) for using or accessing the Website or the Service. You authorize Company (or its partners), or its designated payment processor, to charge your specified credit card, debit card, or other payment methods for such fees as provided through the registration process.
Users will pay for the products they choose to purchase. in case a User is located in Europe and purchases privately (buyer doesn’t purchase for a company) VAT will be added in accordance to MOSS VAT laws. Buyers can purchase using credit card and PayPal.
Except as required by law, all fees are refundable, including, without limitation, in situations where paid posts are removed by UrbexBay (or its partners), or by community flagging, or in case of your stop seeking more jobs. Payments and purchases may not be canceled by the user, except as required by law. However, UrbexBay (or its partners) reserves the right to refuse or terminate any purchase or attempted purchase at any time at its sole discretion. You understand and agree that if you authorize a payment transaction with your credit card, debit card, or other payment methods, but your charge is rejected for any reason, there may be a hold on your use of that transaction amount for several days.
Representation and Limited Warranty
We hereby warn You that We will will provide the GPS coordinates in a competent and skilful manner in line with widely accepted standards for such services, and that We will commit appropriate resources to satisfy Our duties under the Service Agreement. We represent and warrant to You that, in the course of providing Our GPS coordinates Services we will provide you verified and exact GPS coordinates. It should be noted that UrbexBay have no responsibility with the use of its Service by Users in any situation. We are not responsible for any activity performed by the Users with GPS coordinates we have provided.

Although our Services may link to other resources (such as websites, mobile applications, etc.), we are not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with any linked resource, unless specifically stated herein. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any businesses or individuals or the content of their resources. We do not assume any responsibility or liability for the actions, products, services, and content of any other third parties. You should carefully review the legal statements and other conditions of use of any resource which you access through a link on our Services. Limitation of liability

The parties acknowledge and agree that the essential purpose of this section is to allocate the risks under these terms between the parties and limit their potential liability given the fees charged under these terms, which would have been substantially higher if UrbexBay were to assume any further liability other than as set forth herein. The parties have relied on these limitations in determining whether to enter into these terms. Nothing in these terms is intended to exclude or restrict or shall be construed as excluding or restricting the liability of UrbexBay for (i) willful misconduct of UrbexBay; or (ii) any liability which cannot be limited or excluded by applicable law.
Severability
All rights and restrictions in this Agreement may be exercised and are only applicable and binding to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary to keep this Agreement legal, valid, and enforceable. If a court of competent jurisdiction finds any provision or portion of any provision of this Agreement to be illegal, invalid, or unenforceable, the parties intend for the remaining provisions or portions thereof to constitute their agreement for the subject matter hereof, and all such remaining provisions or portions thereof to remain in full force and effect.
Dispute resolution
The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of France without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of France. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in France, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement.
Changes and amendments
We reserve the right to change this Agreement or any of its terms relating to our Services at any time.
